Matthew Steiner is an associate in the Business Department of Morrison & Foerster’s San Diego office, where he was also a summer associate. His practice involves general corporate, transactional, and securities matters, with an emphasis on mergers and acquisitions, venture capital and private equity financing transactions, and public and private offerings. Mr. Steiner currently serves on our firm’s hiring committee for the San Diego office as well as our firm-wide pro bono committee.

Mr. Steiner received his B.A., with honors, in economics from the University of California, Berkeley, and received his J.D. from New York University School of Law. While in law school, Mr. Steiner was a law clerk at the U.S. Attorney’s office for the Southern District of New York. Also while in law school, he served as a staff editor and a senior editor for NYU School of Law's Journal of Legislation and Public Policy and as a teacher’s assistant for NYU School of Law's First Year Lawyering Program. Mr. Steiner is admitted to practice in California.

  • Astute Medical, Inc.: Represented Astute Medical in its $6 million Series A financing.
  • Cardium Therapeutics, Inc. (OTCBB: CDTP): Represented Cardium Therapeutics in its acquisition of Innercool Therapies, Inc.
  • Cell Biosciences, Inc.: Represented Cell Biosciences in its $27 million Series B financing.
  • Credit Suisse First Boston and SG Cowen & Co., LLC / Anadys Pharmaceuticals, Inc. (NSDQ: ANDS): Represented C.S.F.B. and SG Cowen as underwriters in Anadys’ $71 million secondary public offering.
  • Forward Ventures: Represented Forward Ventures as lead investor in several venture financings, including the $28 million Series C financing of LigoCyte Pharmaceuticals, Inc.
  • Genius Products, Inc. (OTCBB: GNPI): Represented Genius Products in the formation of a new home entertainment distribution venture with The Weinstein Company.
  • Inamed Corporation: Represented Inamed Corporation in its $2.8 billion merger agreement with Medicis Pharmaceutical Corporation.
  • Infommersion, Inc.: Represented Infommersion in its $40 million acquisition by Business Objects, S.A.
  • Kanisa Pharmaceuticals, Inc.: Represented Kanisa Pharmaceuticals in its $25 million Series A financing and in its $6 million Series B financing.
  • Kintera, Inc. (NSDQ: KNTA): Represented Kintera in its acquisitions of GoldBox, Inc., Collaborative Standards, Inc., and American Fundware (a subsidiary of Intuit Inc.).
  • Live Nation, Inc. (NYSE: LYV): Represented Live Nation in its $354 million acquisition of House of Blues Entertainment, Inc.
  • Mission Ventures: Represented Mission Ventures as lead investor in several venture financings, including the $7.1 million Series A financing of RockeTalk, Inc., the $6 million Series A financing of RotoHog, Inc., the $8 million Series B financing of ProQuo, Inc. and the $12 million Series C financing of Nirvanix, Inc.
  • Pacific Data Designs, LLC: Represented Pacific Data Designs in its $20 million private equity transaction.
  • SIPphone, Inc.: Represented SIPphone in its $6 million Series B financing.
  • Solarflare Communications, Inc.: Represented Solarflare Communications in its $15 million debt financing and in its $15 million Series A-1 financing.
  • Touchdown Technologies, Inc.: Represented Touchdown Technologies in its $5.2 million Series B financing and in its $20 million Series C financing.
  • Wireless Facilities, Inc. (NSDQ: WFII): Represented Wireless Facilities in its $69 million acquisition of Madison Research Corporation.
