Charlie Katz advises emerging growth and technology companies. On transactional work, Mr. Katz offers deep knowledge on mergers and acquisitions, private equity and venture capital transactions, divestitures, recapitalizations and restructurings, debt and equity financings and securities offerings, leveraged and management buyouts, joint ventures, and strategic investments. In these transactions, he has represented the full range of parties, including bidders, targets, private equity groups, management teams, public companies, private companies, private investors, investment banks and financing sources. He has been involved in all phases of these transactions, including initial planning, structuring, negotiation, implementation and advice.

Mr. Katz has worked on transactions across a variety of industries, including among others technology, government contracts, education, manufacturing, communications, and other regulated businesses. He has experience in both domestic and international transactions, including the representation of parties in cross-border transactions and with multinational investors.

Clients look to Mr. Katz on a broad range of corporate and securities and business-related matters, including directors' duties and responsibilities and other aspects of corporate governance and disclosure issues. He also has experience with transactions, financings, and corporate governance issues in financially distressed and bankruptcy situations.

Mr. Katz is active in the Mid-Atlantic Venture Association, where he has served as co-chair of the Coaching Committee and as a member of the Steering Committee.

Mr. Katz has been recommended as a leading corporate lawyer by Chambers USA for the past six years. Chambers USA 2010 edition comments that Mr. Katz's, "has comprehensive expertise in the emerging companies arena, helping small entities to expand their capital base. " Chambers USA 2008 edition notes the following of Mr. Katz's experience: "Possessing 'an extraordinarily thorough knowledge' of venture capital-funded software businesses, Charles Katz has become an important adviser for many of his clients. Commented one: 'He is detail oriented as well as being business savvy.'"

SI International, Inc. Acquisition by Serco.
Along with the Corporate Practice Group, represented SI International, Inc., in its acquisition by Serco Inc., a U.S.-based subsidiary of leading international service company Serco Group plc. for an aggregate purchase price of approximately $520-million. The acquisition involved regulatory approval by the Committee on Foreign Investments in the United States (CFIUS), as well as national security issues. (2008)
