Mentor Corporation
We advised Mentor Corporation (NYSE: MNT), a market leader and supplier of medical products for the global aesthetic market (e.g., silicone breast implants and liposuction products), in its acquisition by Johnson & Johnson (NYSE: JNJ) through a $1.07 billion cash tender offer ($1.12 billion including debt) announced December 1, 2008. Mentor is expected to operate as a stand-alone business unit reporting through ETHICON, Inc., a Johnson & Johnson company and leading provider of suture, mesh and other products for a wide range of surgical procedures. The transaction is one of only two $1B+ deals announced in Q4 2008 and was among the largest life sciences deals announced for the year.

The Clorox Company
We represented The Clorox Company in its acquisition of Burt's Bees Inc., a leader in natural personal care products, for $925 million in cash, including an additional $25 million payment for anticipated tax benefits.

IGas Energy plc
Advising IGas Energy plc, the UK’s largest producer of coal-bed methane, on its £110 million acquisition of Star Energy Group Limited from PETRONAS International Corporation Limited. This deal was awarded AIM transaction of the year 2012.

Intel in its acquisition of a Dutch chip manufacturer
Represented Intel Corporation in its $4.1 billion investment in ASML, a Dutch chip manufacturer.

SoftBank in its acquisition of Sprint Nextel
Represented Japanese wireless carrier SoftBank in its acquisition of a 78% stake in wireless operator Sprint Nextel for an enterprise value of $44.8 billion. This deal is the largest Asian acquisition or investment in the U.S.

Representation of the U.S. operating subsidiaries of Hampson Industries PLC, a U.K. publicly-traded company and global manufacturer and supplier of engineered products to customers in the aerospace and specialist engineering markets, in connection with their out-of-court restructuring and ultimate sale to American Industrial Partners for approximately $44 million.

Represented Nihon Kohden Corporation in its acquisition of Defibtech, LLC, a US medical instruments company developing and manufacturing, among other things, state-of-the art defibrillators.
