Representative Experience

AltraBiofuels Inc.
We represent AltraBiofuels in general corporate matters, mergers and acquisitions, and intellectual property and intellectual property-related transactions. We specifically represented AltraBiofuels in connection with the sale of certain of its cellulosic assets to EdenIQ and in its negotiation of a cross-license with respect to such intellectual property. Most recently, we advised AltraBiofuels in the corporate restructuring, issuance and sale of Series 1 and Series 2 Preferred Stock and conversion of outstanding debt. AltraBiofuels develops, licenses, and/or acquires the smartest biofuels technologies and quickly places them into profitable, environmentally sound production.
Campbell Timberland Management
We represent Campbell Timberland Management in the formation of investment funds for the acquisition of timberlands in the United States and abroad, including consideration of the carbon sequestration value of such lands and the protection of such value.
Catchlight Energy LLC
We represented Catchlight Energy in intellectual property matters in connection with its joint venture with Chevron Corporation and Weyerhaeuser Company focused on developing the next generation of renewable transportation fuels from nonfood sources.
Energy Biosciences Institute
We currently are assisting EBI with the development and implementation of an IP protection strategy. EBI is a new research and development organization that harnesses advanced knowledge in biology, the physical sciences, engineering, and environmental and social sciences to devise viable solutions to global energy challenges and reduce the impact of fossil fuels to global warming. EBI is the world's first research institution solely dedicated to the new field of energy bioscience, they are initially focusing on the development of next-generation biofuels, but will also look into various applications of biology to the energy sector. EBI is a unique collaboration between the University of California, Berkeley, the Lawrence Berkeley National Laboratory, the University of Illinois, and BP, which is supporting the Institute with a 10-year $500-million grant.
Metropolitan Water District of Southern California
We represent Metropolitan Water District of Southern California, the largest provider of treated drinking water in the nation, in litigation concerning Endangered Species Act restrictions on pumping and exports of water from California's Bay-Delta to Southern California.
Natural Gas/Canadian Superior
We serve as lead counsel for licensing and developing a $3/4 billion deep water liquified natural gas port and in securing federal and state permits and regulatory approvals for development and operation of the associated undersea and onshore interstate pipeline.
Nextlight Solar Facilities
We recently were retained to serve as land use, CEQA/NEPA, and natural resource permitting counsel to Nextlight Solar Facilities, a major developer of utility-scale photovoltaic solar facilities throughout California and other parts of the Western United States.
Sierra Pacific Industries
We represent Sierra Pacific Industries, the largest private timberland owner in California, in various environmental regulation and litigation matters, including an enforcement action alleging air quality violations from a biomass power plant and an action challenging the adequacy of environmental impact review of timber harvesting that resulted in favorable decision by the California Supreme Court. The air quality allegations represented the largest action ever brought by the State of California for civil penalties under its air pollution laws.
Sumitomo Corporation
We represent Sumitomo in its purchase, development, financing and operation of Minera San Cristóbal S.A., which owns and operates one of the largest silver, zinc and lead mines in the world, located high in the Andes in Southwestern Bolivia. Sumitomo purchased a portion of its interest in a pre-arranged bankruptcy sale that closed within 71 days of the debtor's bankruptcy filing.
U.S. Department of Energy
We currently are representing the DOE in providing an approximately $535 million loan guaranty for a solar panel manufacturing project in California.
West Coast Private Equity Fund
We provide West Coast Private Equity with advice on the development and financing of wind farms and solar installations. West Coast Private Equity, traditionally focused solely on the acquisition and management of natural gas royalty interests; more recently, it has turned to investments in renewable energy royalty interests, primarily associated with commercial wind and solar projects throughout the United States. 
Woodside Petroleum Limited
We represented Woodside Petroleum Limited in the $1.5 billion financing of the exploration and development of the Pluto LNG Project in Australia. Japan Bank for International Cooperation provided a $1.0 billion tranche, and a syndicate of commercial lenders, lead by The Bank of Tokyo Mitsubishi UFJ, Ltd., provided the remaining $500 million tranche. The Pluto LNG field is located off the coast of Western Australia and the project, which is scheduled to begin commercial operations in 2010, will initially produce approximately 4.3 million tons of LNG per year.
