Licensing Masterclass: An In-depth Look at Certain Terms in Strategic Partnering Deals

Morrison & Foerster, in association with London Biotechnology Network, invite you to a Licensing Masterclass.

Led by Julian Thurston, this series of three breakfast briefings will explore different aspects of partnering deals, highlighting points that are critical to the deal's success.

Julian is one of the first UK attorneys to focus on life sciences transactions; most recently advising on partnering deals involving Acambis plc, Amsterdam Molecular Therapeutics, GW Pharmaceuticals plc, Intercell A.G., Maelor plc, and Renovo Group plc.

Each breakfast seminar will last for one hour and will cover:

17 April Session 1. Scope of the Deal: What's In and What's Out
This session will explore how to avoid the traps that involve giving away too much of the life blood of the licensing company.

For this session, Julian will be joined by London senior Associate James Ryan and Gladys Monroy, a Partner in Morrison & Foerster's Palo Alto office, with extensive experience in the areas of patents and technology transfer agreements.

22 May Session 2. Diligence and Financials

This session will look at ways of ensuring performance of the partner, and will explore the risks to the anticipated revenue stream that are frequently buried in the drafting, and that tend to be presented as standard.

03 July Session 3. Termination and Reversion of Rights

This session will look in brief at the various circumstances of termination and then in detail about how in practice to secure reversion of rights in a way that can achieve positive PR.
