Two of the most important trends in the global capital markets in recent years have been:

• the ever-increasing number of state-owned and privately-held companies in China that are listing in the U.S.; and
• the sudden jump in the complexity of the U.S. securities laws due to the adoption of the Sarbanes-Oxley Act and accompanying heightened litigation risk for U.S. public companies.

These trends make it more imperative than ever that Chinese companies, underwriters which deal with Chinese companies and other participants in the IPO process have a strong command of the issues which are key to a successful IPO in this environment. Equally importantly, participants in a U.S. IPO need to understand that getting an IPO done is only half the battle -- avoiding, or at least minimizing the impact of, litigation during and after the offering is crucial to the long-term success of a U.S. public company.
