Description:

Two of the most important trends in the global capital markets in recent years have been:

  • the ever-increasing number of state-owned and privately-held companies in China that are listing in the U.S.; and
  • the sudden jump in the complexity of the U.S. securities laws due to the adoption of the Sarbanes-Oxley Act and accompanying heightened litigation risk for U.S. public companies.

These trends make it more imperative than ever that Chinese companies, underwriters which deal with Chinese companies and other participants in the IPO process have a strong command of the issues which are key to a successful IPO in this environment. Equally importantly, participants in a U.S. IPO need to understand that getting an IPO done is only half the battle -- avoiding, or at least minimizing the impact of, litigation during and after the offering is crucial to the long-term success of a U.S. public company.

Keynote address by U.S. securities litigation experts Jack Auspitz and Paul Friedman.

These seminars will cover:

  • Getting the company ready for an IPO -- the key items necessary for an efficient, risk-minimized offering
  • The IPO process and Sarbanes-Oxley -- considerations for issuers and underwriters
  • Understanding how insurance can hedge company risk and protect directors and officers
  • An introduction to the basics of securities fraud class action litigation
  • Protecting yourself against a securities fraud action -- practical tips on what to do and what not to do
  • How Sarbanes-Oxley changed the risk exposure of U.S. listed companies and how to deal with the SEC
  • Case studies

A question and answer session will follow each segment of the presentations, and there will be a cocktail reception following the seminars from 6:00 to 8:00 p.m.

There is no charge to attend the seminar. Simultaneous translation between English and Chinese will be provided.

Feel free to pass this along to your colleagues.
