Mr. Toronto is the managing partner of the firm’s Beijing office. He specializes in venture capital financing, mergers and acquisitions, and PRCrelated public securities offerings and other China-related investment activities. His practice is focused primarily on the structuring and foreign financing of technology-based companies in China. Mr. Toronto has extensive experience in advising foreign investors and PRC companies on investment strategies and structures in China. He has also participated in a wide range of public and private China-related securities offerings, including U.S./Hong Kong dual listings, H Share, B Share, Rule 144A and ADR transactions.

Mr. Toronto is recommended by both 2007 PLC Cross-border Which Lawyer? and Asialaw Leading Lawyers 2006 as a leading advisor for China-related private equity and venture capital investments. He is also a frequent speaker on such topics as private equity and venture financings in Asia and mergers and acquisitions involving Chinese companies. Mr. Toronto is also the co-head of the firm’s engagement as international counsel by the Beijing Olympic Organizing Committee for the XXIX Olympiad in 2008.

Mr. Toronto received his B.A. degree from Brigham Young University in 1980. He received his J.D. degree from Columbia University School of Law in 1991, where he was a Harlan Fiske Stone Scholar and Managing Editor of the Journal of Chinese Law. Mr. Toronto joined Morrison & Foerster as a partner in the firmwide Corporate Group and is currently resident in the Beijing office. Prior to joining the firm, he was a partner in a U.S.-based international law firm’s China Corporate and Securities practice, resident in that firm’s Beijing office. Before moving to Asia, Mr. Toronto was an attorney for a major Silicon Valley law firm in their corporate and securities practice. He speaks and reads Mandarin Chinese.
