Matthew Edwards is an associate in the Corporate Group of the London office of Morrison & Foerster.

Mr. Edwards advises on a wide range of matters including private financings, public offerings, mergers and acquisitions and restructurings. He has particular expertise in advising on deals in the pharmaceutical and life science industries.

Recent deals include representing:

• Acambisplc. Advising Acambis, a vaccine development company, on its follow on offering by way of a placing and open offer to raise £43.4 million and on the £276 million recommended takeover offer from Sanofi-Aventis. Implemented by Scheme of Arrangement.
• PIramed. Advising the institutional and individual owners of PIramed, a privately-owned UK company focusing on treatments for cancer and immune inflammatory diseases, on the sale of the company to Roche, one of the worlds leading research focused healthcare groups, for $160 million plus a milestone payment of $15 million and an amount equal to cash balances.
• Buy.at. Advising technology venture fund, DFJ Esprit and the other selling shareholders, on the sale of portfolio company Buy.at to AOL. Buy.at, with offices in the UK and the U.S., is a leading affiliate network that provides a platform for performance-based e-commerce marketing programmes to advertisers and publishers.
• AkosLimited. Advising the selling shareholders of Akos Limited, a UK based clinical research organisation, in relation to the sale of the company to Cross County Healthcare.
• VivoMedicaplc. Advising Vivomedica plc on the sale of its wholly owned subsidiary, Zimed Limited.
• Unique Digital Marketing Limited. Representing the selling shareholders of Unique Digital Marketing Limited (a digital media advertising agency) on the sale of Unique to Syzygy AG.
• PanTherixLimited. Advising PanTherix Limited on the sale and subsequent repurchase of certain of its assets to Basilea Pharmaceutica AG.
