We assist clients on technology-intensive transactions, including: cross-border licensing and technology transfers, the procurement, development and integration of IT systems and services, equipment manufacturing and supply, marketing and distribution arrangements, joint ventures and strategic alliances, IT and telecommunications equipment procurement and maintenance agreements, and all aspects of IT intellectual property protection and exploitation.
Transactions on which our lawyers have worked include:
- Advising Alba plc on patent licensing, disputes, IT contracts and other operational issues.
- Advising Altera, the world’s pioneer in system-on-a-programmable-chip solutions, on licensing and distribution agreements, including the development of EU-wide template agreements, on various confidential contractual matters and on EU export control issues.
- Advising Amana, a leading Japanese stock photo company, in the $51 million sale of its EU and U.S. subsidiaries to Getty Images, the world’s largest imagery company. The deal, which recently closed, will include post-closing image representation and production facility arrangements overseas and in Japan between Amana and Getty Images.
- Advising Citigroup on telecommunications and IT procurement matters and on software licensing transactions.
- Advising OpenTv, one of the world’s leading interactive television companies, on English law commercial contracting issues and on IP matters in connection with the acquisition of a UK interactive TV business.
- Advising Panavision on regulatory compliance matters.
- Representing the UK’s Department for Work and Pensions (DWP) in a series of major procurements of IT services as part of the modernisation of the DWP’s information technology infrastructure.
- Advising both the umbrella bodies for the UK police and the UK ambulance service on their respective contracts with mobile operator O2 in relation to the development, roll-out and operation of a new nationwide, secure, integrated emergency mobile radio service.
- Advising one of the world’s leading PDA manufacturers on matters throughout Europe, including in relation to supply agreements with mobile operators and EU logistics related arrangements.
