Andrew William Winden is Co-Head of the firm's Public Companies and Corporate Governance group.
Mr. Winden advises corporate and government issuers, underwriters and investors on capital markets transactions, including U.S. registered equity and debt offerings, private placements, privatizations and venture capital financings, and on compliance with U.S. reporting and corporate governance requirements.
Mr. Winden also advises private equity funds, corporate clients and their financial advisors on cross-border tender offers, public and private mergers and acquisitions, joint ventures, and minority investments in companies in the United States, Japan, and other Asian countries.
Prior to joining Morrison & Foerster, Mr. Winden served as an Honors Attorney at the United States Department of the Treasury and worked in the Washington, D.C., New York and Tokyo offices of Sullivan & Cromwell LLP.
Mr. Winden attended Stanford University's Inter-University Center for Japanese Language Studies, as a Japan Foundation Fellow. At Harvard Law School, he was awarded with the Ford Foundation Fellow in International Law as well as the National Security Education Fellow. As an undergraduate at Stanford University, Mr. Winden graduated with distinction and honors and was awarded the Firestone Medal for Excellence in undergraduate research. Mr. Winden is fluent in Japanese.
