Yukitoshi Uwatoko is an of counsel in the Business Department. Mr. Uwatoko has extensive experience in a wide variety of corporate finance transactions ranging from investment fund formation, M&A transactions, commercial lending and work-out. He has represented numerous Japanese, U.S. and European corporate clients and financial institutions. Mr. Uwatoko received his B.A. degree in Law from Waseda University in 1991 and his J.D. degree, cum laude , from the University of Minnesota Law School in 1994. • Represented a major Japanese real estate investment and management company in connection with the formation of its Japanese real estate fund.
• Represented a major global developer and owner of industrial real estate in connection with the formation of a Japan-focused real estate fund.
• Represented a major Japanese private equity firm in connection with the recapitalization of a Japanese supermarket chain operator.
• Represented a major Taiwanese venture capital firm in connection with the formation of a China-focused venture capital fund.
• Represented a major Japanese private equity firm in connection with the formation of an MBO fund structured as a Cayman Islands' limited partnership.
• Represented a major Japanese pharmaceutical company in connection with its investment as a strategic limited partner in a U.S.based healthcarefocused venture capital fund organized by a private equity affiliate of a major US merchant bank.
• Represented a major Japanese trading company in connection with its investment as a special limited partner in a parallel fund of one of the largest US.based biofocused private equity funds.
• Represented a major Japanese Internet company, as sponsor, in connection with the formation of a biofocused venture capital fund structured as a Cayman Islands' limited partnership, with capital commitments in excess of$70 million.
• Represented a major Japanese venture capital firm, as general partner, in connection with the formation of two ITfocused venture capital funds structured as Cayman Islands' limited partnerships, with capital contributions in excess of 30 billion Yen and 20 billion Yen.
• Represented a Japanese subsidiary of a U.S. online investment bank, as general partner, in connection with the formation of an ITfocused venture capital fund structured as a Cayman Islands' limited partnership, with capital commitments of 15 billion Yen.
• Represented a Japanese venture capital limited partnership in connection with an offering of its limited partnership interests to United States investors.

Mergers and Acquisitions

• Represented a major Japanese MBO fund in connection with its acquisition of a Japanese logistics company.
• Represented a Japanese car audio manufacturer in connection with the sale of its U.S. highend audio manufacturer subsidiary to a major U.S. investment fund.
• Represented a Japanese partner of an online brokerage joint venture in connection with the joint venture's share exchange with the U.S. partner and the merger of the joint venture with the Japanese partner's subsidiary.
• Represented a Japanese food service company in connection with the sale of its U.S. majority owned subsidiary vis á vis the purchaser and the minority founding shareholders and option holders.
• Represented a NASDAQlisted U.S. software company in connection with the acquisition of the founders' interests in a Japanese software company.
• Represented a Japanese food manufacturer in connection with the acquisition of a majority interest in a Hong Kong stock exchange listed food manufacturer.

Commercial Lending

• Represented a major Japanese bank in connection with its participation in air craft lease financing.
• Represented a major Japanese computer manufacturer, as borrower, in connection with a $550 million global multicurrency revolving credit facility from a syndicate of 15 banks.
• Represented a major European bank, as agent bank for a syndicate of more than 30 financial institutions, in connection with $385 million fullysecured senior revolving and term credit facilities for a leveraged buyout of a privatelyheld U.S. manufacturing company by European investors.
• Represented a major European bank, as agent bank for a syndicate of 15 banks, in connection with $530 million revolving credit facilities for working capital of one of the largest U.S. accounting firms.

WorkOut / Chapter 11

• Represented a Japanese trading company, as secured creditor and creditors' committee member, in connection with a chapter 11 bankruptcy proceeding of a major international vessel holding company.
