Mr. Beraha has broad experience in technology, content, branding and other intellectual property development, licensing and partnering transactions. His work includes the structuring and negotiation of joint venture and strategic alliance transactions and related agreements; technology, software and content assignments and licenses; ecommerce, search and other Internet-related transactions; development, joint development, consulting and outsourcing agreements; patent assignments and licenses; and trademark licenses and related branding agreements, as well as the intellectual property components of merger and acquisition transactions and other transactions relating to the transfer of technology and other types of intellectual property.
Examples of Mr. Beraha’s recent transactions include representing Fujitsu in its global strategic alliance with Sun Microsystems, in which the two companies combined their world-wide UNIX server businesses; representing Sega in its first two licenses of massively multiplayer online games for the Chinese market; representing Hitachi in its acquisition of IBM’s global hard disk drive business; representing Yahoo Japan in its sponsored search transactions with Google and Overture and in a series of other search-related and commercial transactions; representing ITOCHU in its restructuring of the Excite Japan joint venture and acquisition of ownership in Japan of related Excite technology and trademarks; representing NTT Holdings in its joint venture with NTTME and Internap Network Services to provide high-speed Internet connectivity services in Japan; representing SOFTBANK Corp. in its joint venture with NCsoft to develop and distribute online game services in Japan; representing SOFTBANK Finance in renegotiating the license agreement between E*TRADE Japan and E*TRADE Group; representing @Nifty, then Japan’s largest ISP, in its strategic alliance with Singapore Telecom to provide users with roaming Internet access and Asia-wide content; representing Fujitsu in its acquisition of Glovia, a developer of ERP software, from MDIS, plc.; representing ACCA Networks in its strategic alliance with NTT Communications and Covad Communications to provide ADSL services in Japan; and representing Aplix Corporation, a developer of embedded Java software solutions, in its licensing and early-stage negotiations with numerous carriers, handset manufacturers, software developers and other participants in the wireless communications industry.
Mr. Beraha received his B.A. degree in English and Philosophy, Phi Beta Kappa and with High Distinction, from the University of Michigan in 1990 and his J.D. degree from New York University in 1993. From 1993 to 1995, Mr. Beraha served as a law clerk to the Honorable Avern Cohn, United States District Judge for the Eastern District of Michigan. He is admitted to practice law in the State of New York. He is also a Gaikokuho Jimu Bengoshi in Japan and a member of Daini Tokyo Bar Association.
