Fuyuo Mitomi is the Managing Partner of Ito & Mitomi, registered associated offices of Morrison & Foerster LLP. Mr. Mitomi represents both Japanese and non Japanese corporations, investment banks and other financial institutions on a wide range of cross border and domestic legal matters with an emphasis on securities transactions and corporate law advice.
For over 30 years, Mr. Mitomi has been involved in various capital market transactions, including global and domestic offerings of shares by both Japanese and foreign companies; Japanese domestic bonds; foreign currency-denominated convertible bonds of Japanese issuers; and yen-denominated (“Samurai”) bonds of supranational institutions, foreign governments and agencies and multinational corporations as well as CBOs and CLOs. Mr. Mitomi has a broad range of experience in advising financial institutions on various regulatory issues. Mr. Mitomi has also been active in various types of domestic and international corporate matters, including inbound and outbound M&A and financing transactions.
In the area of securities, Mr. Mitomi has in recent years represented Nikko Citigroup, Daiwa Securities SMBC, Nomura Securities, UBS, Goldman Sachs, Morgan Stanley, UBS and other investment banks as underwriter’s counsel in connection with global share offerings by various issuers. Such offerings include those by Seiko Epson Corporation, INPEX Corporation and Jupiter Telecommunication, largest IPOs in Japan in recent years; Japan Retail Fund Investment Corporation and Kenedix Realty Investment Corporation, J-REIT issuers; Advantest Corporation; Fujisawa Pharmaceutical Company Limited and Mitsui Trust Holdings. As issuer’s counsel, Mr. Mitomi represented East Japan Railway Company in its global share offerings. In the M&A area, Mr. Mitomi represented Air Liquide in the consolidation of its Japanese business with that of The BOC Group including a tender offer for its TSE listed Japanese subsidiary and the subsequent acquisition of the combined business.
Mr. Mitomi received his LL.B. from the Tokyo University Faculty of Law in 1972, graduated from the Legal Training and Research Institute of Japan and was admitted as Bengoshi to practice in Japan in 1974. Mr. Mitomi also received his LL.M. from Harvard Law School in 1978. Prior to founding Ito & Mitomi in 2001, Mr. Mitomi was a name partner in Tomotsune Kimura & Mitomi.
