Morrison & Foerster represented Fujitsu Consulting Inc. in its acquisition of Rapidigm, Inc., a privately-held information technology consulting and integration firm with offices in 22 major metropolitan markets in the United States and offshore development centers in India. The acquisition closed on March 31st. The financial terms of the transaction were not publicly disclosed. The addition of Rapidigm will significantly increase Fujitsu’s national information technology consulting and integration capacity and will provide incremental offshore delivery capabilities.
The corporate team in the New York office consisted of Michael Hagan and Kerry Acocella, with Steve Feldman assisting on tax matters, Mary Shallman and Keum Yoon assisting on IP matters and Amarah Sedreddine assisting also on corporate matters. The Hart-Scott-Rodino filing and clearance was handled by Aki Bayz and Matt Sikes in the DC office with assistance from Ken Siegel in Tokyo, who also handled interfacing with the client parent. Patrick McCabe and Tom Scholz assisted on the buy-out of the target’s stock option plan and Paul Borden assisted on executive compensation matters.
