Outsourcing

Morrison & Foerster's European sourcing team acts for businesses, consultants and leading vendors on all aspects of outsourcing projects from traditional IT outsourcings to business process outsourcing (BPO) deals. This gives us a significant edge in our understanding of the commercial requirements and concerns of both parties, and allows us to provide significant 'value-add' when managing and negotiating transactions for our clients. We work closely with clients and experts to develop training and market leading strategies to address key concerns in the outsourcing process including service levels, benchmarking, HR issues, relationship management, liability and exit management. The group draws its expertise from many practice areas including technology transactions, employment, corporate, taxation, real estate and dispute resolution and operates as a seamless team to provide outsourcing solutions for our clients.

Representative Transactions

  • AIG Europe. We advised AIG Europe on a $100 million pan-European 10 year deal with Accenture in connection with the outsourcing to Spain and Romania of certain back-office and insurance intermediary operations across 5 European countries.

  • Her Majesty's Revenue & Customs. Advising HMRC on the integration of two of the largest IT outsourcings in the public sector.

  • Her Majesty's Revenue & Customs. Advising HMRC on a claim for compensation for problems experienced with the IT system developed by EDS to support the 2003 launch and subsequent operation of the UK's Tax Credits scheme. The claim was successfully settled for an aggregate amount of approximately £71.25 million.

  • National Policing Improvement Agency (NPIA). Advising NPIA on the consequences of the £2 billion sale by Telfonica of Airwave O2, the main provider of radio services to all UK emergency services (primarily Police, Fire and Ambulance).

  • Pearl Group Limited. Advising Pearl Group, the closed life insurer, on the outsourcing of payment execution services.

  • Royal & SunAlliance. Advising Royal & SunAlliance on significant BPO, ITO and technology transformation transactions which included off shore services from India.

  • Skandia UK. Advising Skandia, a leading independent provider of long-tem savings solutions, on a $200 million, multiservice, five-year contract with HCL Technologies. Under the terms of the arrangement, Skandia UK will outsource application optimization, including development, maintenance and support (across all platforms) and remote infrastructure management to HCL.

  • UKvisas. Advising UKvisas, a joint Home Office and Foreign and Commonwealth Office directorate, in relation to a £297 million ($583 million) business process outsourcing contract. Services in scope include the establishment of physical visa application centres across the globe; the provision of information services; the capability to enroll the biometric details of all visa applicants; and the secure transmission of all visa applicant details.

  • A leading UK high street bank. Advising a leading UK high street bank on an outsourcing agreement in respect of the manufacturing and personalisation of its debit and credit card portfolio.
