Representative Experience

Amtrak
Represented Amtrak in the outsourcing of its IT platform in a third-generation, multi-sourced transaction valued at $500 million. Morrison & Foerster included innovative governance and service level structures that aligned the providers’ financial goals with Amtrak’s requirement of fully coordinated service delivery.
Kaiser Permanente
We represented Kaiser Permanente in a transaction valued at over $500 million to outsource Kaiser's four major data centers and several ancillary operations to IBM. We counseled Kaiser Permanente in its strategic outsourcing contract with Accenture. In addition, we assisted Kaiser Permanente in designing and implementing a comprehensive severance program as part of a larger outsourcing initiative.
Phoenix Group
We advised Phoenix Group on its outsourcing of life and pension payment execution functions and services to Diligenta, a subsidiary of Tata Consultancy Services. This was a complex deal involving the transfer of 950 staff, and we were involved in all aspects of the transaction including down selection of the final bidders; preparing the term sheet; agreeing to the pricing and performance structure; ensuring FSA compliance; defining the scope; tax structuring; putting in place the key controls over people and assets; defining exit procedures and principles; and advising Phoenix on all legal and business issues relating to the transaction. Phoenix Group is a closed-book life insurer.
UK Border Agency
We advised the UK Border Agency on its £297 million business process outsourcing contracts relating to the operation of the UK's visa application process. Services in-scope include the establishment of physical visa application centres; the provision of information services; the capacity to enrol biometric details of all visa applicants; and the secure transmission of all visa applicant details. Over 200 countries are in scope to receive services. We helped UKBA to deliver this hugely challenging project on budget and within timescales. This project won the award for “e-Government excellence: Innovation in strategy” at the e-Government National Awards 2007.
