Morrison & Foerster's energy-related transactional practice leverages the firm's overall energy expertise with the skills of attorneys in finance, corporate, real estate, land use and environmental and other transactional practices.

This combination of energy-related skills and experience allows the firm to offer clients informed and practical legal advise relating to all aspects of energy project development and acquisition, including the structuring and formation of ownership entities; project financing; power plant siting and licensing; land acquisition; project construction; and negotiation of fuel supply, power purchase, O&M and thermal off-take agreements.

Representative Matters

AES Corp. The firm represented AES in the acquisition of Southern California Edison’s Alamitos, Huntington Beach and Redondo Beach Generating Stations. The firm also represented AES in the process of securing the permits and FERC authorizations necessary to accomplish its purchase of $750 million of power plants, including the first authorization ever granted for market-based sales of ancillary services.

Japan Bank for International Cooperation/Tuxpan III & IV Power Project and Tuxpan V Power Project (Mexico). Representation of JBIC in connection with the non-recourse financing of the $600 million 1,018 MW gas-fired Tuxpan III & IV Power Project in Mexico, sponsored by Union Fenosa, and in connection with the non-recourse financing of the $300 million 495 MW gas-fired Tuxpan V Power Project, sponsored by Mitsubishi Corporation and Kyushu Electric.

Calpine Corporation, Mitsui & Co., Ltd. and Chubu Electric Power Co., Inc. Consortium/Valladolid III Power Project (Mexico). Representation of the Sponsors and Project Company in connection with the bid, development and non-recourse financing of the 525 MW Valladolid III Power Project in Mexico.

OPIC/Paiton Power Project Financing and Restructuring (Indonesia). We represent OPIC as lender in a $2.5 billion limited‑recourse project financing for the construction and operation of a 1230 MW power plant in Indonesia. Due to economic turmoil in Indonesia, the financing for this Project, which closed in 1995, was restructured in 2003.

Export-Import Bank of the United States/Turkish Power Projects. Since 1995, representing U.S. Ex-Im Bank in over $3 billion of limited recourse financings for five power projects (3100 MW) in Turkey: Trakya Elektrik, InterGen/ENKA Gebze, Izmir and Adapazari projects and the Tractebel/Ankara project, accounting for over 20% of the country's installed electrical capacity.

Marubeni/Youngduk Wind Farm Project (South Korea). Representation of Marubeni in connection with the development and financing of the 40 MW Youngduk Wind Farm Project located in North Kyongsang, South Korea -- the first wind farm developed in South Korea.
