Tom Knox is co-chair of the firm’s East Coast and Europe Corporate Group, and is also a member of the firm’s Technology Transactions Global Sourcing Group.

Mr. Knox represents public and private companies on a wide variety of corporate and finance matters.  He frequently serves as the principal outside corporate and commercial counsel to his clients.  In that capacity, he provides corporate law, securities law, and corporate governance advice to executives, boards of directors, investors, and counsel, and he executes a wide range of transactions for them, including initial public offerings (IPOs) and other equity financings, private equity and venture capital investments, strategic investments, and merger and acquisition transactions.

He works with clients to structure, negotiate and implement a wide variety of joint venture, teaming and strategic alliance transactions involving equity, debt, commercial and governance elements.

Mr. Knox advises on technology transactions of all kinds, including business process and technology outsourcing transactions, technology procurement agreements, services agreements, licenses, collaboration and joint venture agreements, electronic commerce and e-business deals, OEM, reseller and other distribution arrangements, and acquisitions and dispositions of IP assets, in both domestic and international markets.

He counsels clients in a variety of industries including enterprise software, internet infrastructure, security, telecommunications, pharma, medical equipment, high-precision manufacturing, government services, information services and financial services.

Mr. Knox has served as an Adjunct Professor of Law at Georgetown University and as a Guest Lecturer at the University of Maryland and the University of Michigan Law School.
