John Tawadrous is of counsel in Morrison Foerster’s Agency Finance and Finance Groups, based in New York. He represents lenders, including development finance institutions, export credit agencies, multilateral institutions, private credit funds, and commercial banks, as well as corporate borrowers and sponsors, in connection with a wide range of financing transactions.

John has more than a decade of experience structuring, negotiating, and documenting debt financings across agency finance, project finance, leveraged and acquisition finance, venture and growth capital, impact lending, and asset-based lending. His practice spans a range of sectors, including energy, mining, critical minerals, manufacturing, technology, and life sciences.

He regularly represents export credit agencies and development banks in domestic and cross-border financings, helping these clients navigate nuanced legal, policy, and business issues. He also advises private credit providers, corporates, and private equity sponsors on financings supporting acquisitions, infrastructure, growth capital, and debt restructurings.

Before joining Morrison Foerster, John practiced in the finance groups of leading international law firms in New York and Sydney, advising banks, sponsors, and corporates on leveraged finance and project finance transactions.

He is admitted to practice in New York and Australia.

Recent representative matters include advising:

  • A federal government agency on direct loans and other credit support under its domestic financing program, covering projects in the manufacturing, mining, energy, and critical minerals sectors, to strengthen industrial capacity and supply chain resilience.
  • On a $425 million cross-border project financing to fund a greenfield solar energy plant in South Asia.
  • On a $65 million multi-country, multi-currency facility to support telecommunications infrastructure investments across Latin America.
  • On the negotiation of a multibillion-dollar federal funding arrangement under the CHIPS Act (the largest award thereunder) between a multinational semiconductor corporation and the U.S. Department of Commerce.
  • On acquisition financings, subscription facilities, growth credit facilities, and cross-border debt restructurings for private equity sponsors, corporates, and private credit funds.
