Marvin “Bucky” Swift, Jr. is an of counsel in the firm’s Executive Compensation + Benefits practice.

Bucky has extensive experience in the ERISA employee benefits area and helps develop solutions on a broad range of benefits and compensation issues, including qualified and non-qualified retirement/deferred compensation planning, compensation and benefits strategies for successful merger and acquisition compensation and benefits planning, and reductions-in-force planning, as well as on a variety of welfare benefit programs. His practice concentrates in the executive compensation area and he partners with clients to develop compensation and incentive programs for both private and publicly traded employers. Bucky represents boards of directors, employers, and executives alike in negotiating and drafting executive level severance, employment, and change in control agreements and navigates his clients through the complicated rules affecting those arrangements, including Internal Revenue Code (IRC) Sections 162(m), 280G, and 409A. He also works with clients to design and draft a variety of equity and “equity-like” compensation arrangements.

Bucky also has expertise in guiding both private equity funds and investors through the labyrinth of ERISA issues that can apply to raising and investing capital when ERISA employee benefit plan investors are involved. This work includes partnering with clients to analyze and develop solutions to potential issues under the ERISA plan asset and ERISA and IRC prohibited transaction rules (and exemptions to those rules for certain transactions) in connection with raising and investing capital when ERISA plan assets are involved.
