Melissa Flocks is a corporate associate in the firm’s Austin office, where she represents both issuers and underwriters in securities offerings, including initial public offerings, follow-on offerings, and private placements.
Melissa regularly advises public companies on corporate governance and general securities law compliance, such as Exchange Act reporting requirements. She also advises non-listed REIT clients with respect to compliance with U.S. federal securities laws, state blue sky laws, and FINRA rules.
Melissa earned her J.D. from The George Washington University Law School, where she was a student attorney at the Small Business Community and Economic Development Clinic and a member of the Federal Circuit Bar Journal. Melissa holds a B.A., cum laude, from Vanderbilt University.
Representative Experience
- Represented Centuri Holdings, Inc. (NYSE: CTRI) and parent company Southwest Gas Holdings, Inc. (NYSE: SWX) in a $353 million IPO and concurrent private placement.
- Represented the sales agents, forward sellers, and forward purchasers in connection with Plymouth Industrial REIT, Inc.’s (NYSE: PLYM) launch of a $200 million at-the-market equity offering program.
- Represented Southwest Gas Holdings (NYSE: SWX) in connection with the launch of its $340 million at-the-market equity offering program.
- Represented the underwriters in connection with the public offering of $600 million aggregate principal amount of 4.650% notes due in 2034 by ERP Operating Limited Partnership, a subsidiary of Equity Residential (NYSE: EQR).
- Represented McKesson Corporation (NYSE: MCK) in its registered offering of $500 million of 4.250% notes due in 2029 and subsequent redemption of 5.250% notes due in 2026.
