Advised Paine Schwartz Partners on multiple transactions, including:

  • The acquisition of Registrar Corp., a leading provider of supply chain compliance software and services to domestic and foreign food and beverage, medical device, pharmaceutical, and cosmetic customers.
  • The proposed sale of Verisem, an integrated global seed production company, to Syngenta’s vegetable seeds business, part of Syngenta Group, a global leader in agricultural science and innovation headquartered in Switzerland.
  • The acquisition and eventual sale to Berkshire Partners of FoodChain ID, a food inspection and certification company.
  • The acquisition of Wawona Packing Company, a supplier of high-quality stone fruit, and its business combination with Gerawan Farming.
  • The acquisition of Lyons Magnus Group, a foodservice supplier of beverage syrups, smoothies, juices, toppings, syrups, and other fruit-based products.

  • Its acquisition of Tessara.
  • Its acquisition of PACE International.

Advised Special New Fruit Licensing, a table grape research and development company, in its combination with International Fruit Genetics (IFG).

Aqua Capital

Advised Aqua Capital, an agriculture-focused private equity investor based in Brazil, in its acquisition of Novus Ag, an innovative ag retail platform that provides farmers with an optimal mix of local expertise and national scale.

Sugar Foods Corporation

Advised Sugar Foods Corporation, a food company serving prominent foodservice, grocery, retail, and restaurant brands, in its sale to Pritzker Private Capital (PPC).

Lyons Magnus

Advised Lyons Magnus, a leader in the food service industry, in its acquisition of Phillips Syrups and Sauces, an Ohio-based business that designs, manufactures, sells, and distributes coffee house products, ice cream shop products, and breakfast syrups.

Advised FoodChain ID in its acquisitions of:

  • Nutraveris, a leading scientific and regulatory affairs consultancy and technology software provider covering the European health, nutrition, and supplements markets.
  • Quality Partner, a food safety testing, inspections, and organic certification company.
  • Diversified Laboratories, a laboratory specializing in the detection of pesticide contaminants in animal feed and human food products, creating a comprehensive contaminants testing solutions company for food and animal feed products.

WireCo WorldGroup

Advised WireCo WorldGroup on its over $1 billion debt and equity recapitalization, including the refinancing of $825 million of existing debt and a $260 million majority equity investment by Onex Capital.

Eurodrip

Advised Eurodrip, a manufacturer of drip irrigation products, on its merger with Rivulis.

Tinicum

Advised Tinicum and affiliated funds managed by Tinicum Incorporated in the acquisition of a controlling interest in Robert Family Holdings to create TSL Engineered Products.

TSL Engineered Products

Advised TSL Engineered Products, a portfolio company of Tinicum, in the sale of Advantek, a leading provider of highly engineered carrier tape and associated protective packaging products, to Cornell Capital.

SoftBank Group Corp.

Advised SoftBank Group Corp. as the largest investor in Social Finance, Inc. (SoFi), a leading next-generation financial services platform, in connection with SoFi’s agreements with Social Capital Hedosophia Holdings Corp. V (SCH), a publicly traded special purpose acquisition company (SPAC), that will take the company public via merger, in a transaction that values the company at $8.65 billion.

Project 8

Advised Project 8, a new entity formed by ATN International, Inc. and its financial partner Freedom 3 Capital, LLC, in connection with its agreement to acquire Alaska Communications Systems Group, Inc., the leading provider of advanced broadband and managed IT services for businesses and consumers in Alaska.

Tene Capital and Pulse Agri Investments

Advised Tene Capital and Pulse Agri Investments in its acquisition of Ahern Agribusiness, a San Diego-based seed distribution business with operations in the United States, Mexico, and Central America.

Burford Capital

Advised Burford Capital in its acquisition of GKC Holdings, the parent company of Chicago‑based litigation finance and asset management firm Gerchen Keller Capital, combining the two largest litigation finance players in the world.

MSD Capital

Advised MSD Capital in its significant investment in the $4 billion buyout of UFC, joining WME-IMG, KKR, and Silver Lake, and in its investment in the WIRB-Copernicus Group.

Kinder Morgan

Acted for the buyout group led by Goldman Sachs in Kinder Morgan’s $22 billion leveraged buyout.

Pivotal Acquisition Corporation

  • Advised Pivotal Acquisition Corporation, a publicly traded SPAC in its merger with KLDiscovery.
  • Advised Pivotal Investment Corporation II, a publicly traded SPAC, on its merger with XL Fleet, a leader in vehicle electrification solutions for commercial and municipal fleets.

Silver Crest Acquisition Corporation

Advised Silver Crest Acquisition Corporation, a publicly traded SPAC, in connection with its $1.4 billion business combination with TH International Limited (Tims China), a master franchisee and operator of Tim Hortons coffee shops in China.

Sky Harbour LLC

Advised Sky Harbour LLC, a developer of private aviation infrastructure focused on building, leasing, and managing business aviation hangars, in its business combination agreement with Yellowstone Acquisition Company, a publicly traded SPAC sponsored by Boston Omaha Corporation.
