Nancy Rigby is Of Counsel in Morrison Foerster’s Seattle office and a member of the firm’s Financial Services Group.
Nancy’s practice focuses on derivatives, trading, and commodities regulation, advising buy-side and sell-side market participants, including fintechs and traditional trading and market firms, on regulatory and transactional matters across the financial services industry. Her work spans regulatory strategy and compliance across a spectrum of registered entities, including swap dealers, brokers, and commodity trading advisors. With experience across a variety of asset classes, including commodities, foreign exchange, interest rates, and energy, as well as emerging areas such as prediction markets, she engages in the entire spectrum of the trade lifecycle, from transaction structuring through execution and settlement. She is experienced in all trading documentation, including ISDA Master Agreements and Credit Support Documentation for regulatory initial margin (IM) and variation margin (VM) and related account control agreements, confirmation agreements, novations, and bespoke credit support structures.
Prior to joining Morrison Foerster, Nancy was Group Lead Lawyer for Cargill Risk Management (CRM) at Cargill, Incorporated, a global risk management and trading business. In that role, she was primary counsel for multiple registered entities and served as senior legal director for CRM’s CFTC-registered swap dealer. In addition to her regulatory counseling responsibilities, she also led legal support for all CRM’s commercial initiatives, including large energy financing transactions, Cargill’s acquisition of a physical coffee intermediation business, and the development of documentation for emerging asset classes such as carbon credit derivatives.
Before Cargill, Nancy spent more than 15 years at U.S. Bank National Association, including nearly a decade as assistant general counsel, advising U.S. Bank Capital Markets on derivatives and foreign exchange regulation, including Dodd-Frank, EMIR, and MiFID II. She began her career at an international law firm, structuring secured lending, derivative, and securitization transactions for financial institutions.
Nancy is a fellow of the American College of Commercial Finance Lawyers, serving as regent since 2022, and previously co-chaired the ABA’s subcommittee on International Commercial Law. She is active in pro bono service through the Seattle Clemency Project, where she and her husband served as co-counsel representing the longest-serving female inmate in Washington State, ultimately securing clemency on her client’s behalf.
She earned her J.D. from Washington and Lee University School of Law and received her B.A. from Trinity University.
