Xuanyi Liu is a partner in the Private Funds Group of Morrison Foerster, based in the firm’s Singapore office.

Xuanyi Liu advises leading private capital sponsors and institutional investors on the full spectrum of private funds and strategic private capital transactions across Asia. His practice spans fund formation, secondaries, structured liquidity solutions, team spinouts, fund manager JVs and stakes acquisitions, and the operation of private funds and complex investment programs across private equity, venture capital, real estate, private credit, impact, and infrastructure strategies. His clients include leading global and regional fund sponsors, fund-of-funds, sovereign and institutional investors, and multinational corporations based in Greater China, Japan, Southeast Asia, South Korea, and the United States.

Xuanyi is recognized for his experience advising on sophisticated secondaries and liquidity solutions, including continuation fund transactions, GP-led and LP-led transactions, preferred equity structures, net asset value financings, strip sales, open-end conversions, tenders, and traditional limited partner portfolio sales.

Since joining Morrison Foerster, Xuanyi’s experience has included advising clients on a broad range of fund transactions, including:

  • Multiple Asia-focused or -based sponsors on the formation of PE, private credit, and real estate funds, targeting commitments in excess of US$2 billion.
  • Multiple Greater China sponsors in connection with strategic alliances or initiatives targeted at fostering cooperation in technology, AI, and other related sectors.
  • An Asian sponsor on an ongoing, proprietary, sponsor-led secondary transaction involving a multi-asset continuation fund with a mid-market control-oriented private equity portfolio.
  • Multiple institutional investors, including a North Asian institutional endowment investor, a sovereign-owned investor, and a multinational corporation, in connection with multiple fund investments and co-investments in PE, VC, hedge, and renewable energy funds.
  • Multiple Asian institutional investors on secondary sales of LP interests in global private equity funds.

Prior to joining Morrison Foerster, Xuanyi worked for another leading international law firm in both Hong Kong and Singapore. He is fluent in English and Mandarin.
