Alexa Belonick is an associate in the San Francisco office of Morrison & Foerster and a member of the Corporate Department. Ms. Belonick works with public and private companies on general and transactional matters, in a wide range of corporate and securities law topics and across a variety of industries, including tech, pharmaceuticals, retail, and oil and gas.

Ms. Belonick focuses her practice on the representation of public company clients, both in capital market and transactional matters as well as in disclosure and compliance matters. She counsels public companies undertaking public and private debt and equity financings, including initial public offerings, at-the-market equity offerings, secondary equity offerings, registered debt offerings, 144A private placements, PIPEs and convertible note offerings. Ms. Belonick also represents public and private companies in mergers and acquisitions, tender offers, and other strategic transactions.

As part of her public companies practice, Ms. Belonick works with companies throughout the year on corporate governance topics and compliance with NYSE and Nasdaq listing standards, Sarbanes-Oxley, Dodd-Frank, and U.S. federal securities laws.  She regularly works with companies on ’34 Act disclosure questions, responding to SEC comment letters, fine tuning corporate governance policies and procedures, and Section 16 topics.

Ms. Belonick received her J.D. from the University of Virginia School of Law, where she was the Editor-in-Chief of the Virginia Law Review. She received her M.A. from the University of St. Andrews and her B.A., with highest distinction, from the University of California, Berkeley.

ON Semiconductor’s Public Acquisition
Represented ON Semiconductor Corporation (Nasdaq: ON) in its $2.4 billion acquisition of Fairchild Semiconductor.

Southwest Gas’ Public Debt and Equity Offerings
Represented Southwest Gas Holdings, Inc. (NYSE: SWX) in its senior notes offering and at-the-market equity offering for a combined $350 million.

Pain Therapeutics’ Registered Direct and Private Placement Financing
Represented Pain Therapeutics, Inc. (Nasdaq: PTIE), a small-cap public company that develops proprietary drugs for disorders of the nervous system, in its registered and private placement offering of common stock and warrants.
