Amanda Hines Gold is of counsel in the firm’s Executive Compensation + ERISA group.
Amanda’s practice focuses on executive compensation matters including designing, drafting, and negotiating equity-based compensation arrangements, severance, change in control and executive employment agreements, preparing related disclosures for securities filings and managing all executive compensation and employee benefits aspects of public and private mergers and acquisitions. Recent engagements include: Softbank's acquisition of Sprint Nextel for $21.6 billion; Renesas Electronics Corporation in its $3.2 billion acquisition of U.S. chipmaker Intersil Corp.; and private equity firm WM Partners, LP in its $700 million sale of Nutranext Holdings, LLC and its subsidiaries to The Clorox Company.
Amanda also regularly advises the firm’s clients in connection with employee benefits matters, including 401(k) plans, health and welfare plans and other fringe benefits. She is recommended for Employee Benefits and Executive Compensation by Legal 500 US 2018.
Amanda is committed to the firm’s pro bono matters and served as a working group member of the San Francisco’s District Attorney’s landmark Blue Ribbon Panel on Transparency, Accountability, and Fairness in Law Enforcement.
Amanda earned a J.D. from Arizona State University, magna cum laude, where she was a managing editor of the Arizona State Law Journal.
