Andrew advises on the tax aspects of cross-border M&A and corporate restructurings, particularly in the United States, China, Japan, and the rest of the Asia-Pacific region. He also works with U.S.- and Asia-based clients on resolving taxation issues relevant to the funds industry.

Prior to joining Morrison & Foerster, Andrew was an associate in a leading international law firm in its Palo Alto office.

Andrew is fluent in English and Mandarin.

Representative Experience

  • Advised various US technology companies on the US tax implications of internal restructuring motivated by US tax reform.
  • Assisted a Silicon Valley industry group with public comments on US tax regulations arising from US tax reform.
  • Advised a US acquirer on US withholding issues on multiple acquisitions.
  • Assisted a US multinational with the planning and execution of a spin-off of its foreign principal structure. Advised on the direct and indirect taxes, employee stock compensation, and tax recapture consequences.
