Ashley Arons represents private investment fund sponsors in connection with the formation, structuring, negotiation, operation, and distribution of investment funds and products, securities offerings, regulatory and compliance matters, governance, and other corporate matters.
Ms. Arons advises fund sponsors in the structuring, negotiation and formation of U.S. and non-U.S. private funds, including private equity buyout funds, hedge funds, real estate funds, debt funds, infrastructure funds, managed accounts, and funds of funds. She also advises alternative asset manager clients on all aspects of fund structuring, commercial terms, and legal and regulatory matters, as well as ongoing fund operations, including upper tier restructuring, alternative and parallel investment structures, and transfers or secondary sales of partnership interests.
Ms. Arons also represents institutional investors in connection with their private fund investments, including buyout, real estate, debt, infrastructure, and other closed end funds.
In addition, Ms. Arons counsels sponsors in connection with transactional, regulatory and compliance issues related to federal securities laws, investment adviser registration and other SEC, CFTC and Dodd-Frank regulatory compliance matters.
Prior to joining Morrison & Foerster, Ms. Arons was an associate in the New York headquarters of a large international law firm. She earned her J.D. from Columbia University and her B.A. summa cum laude from the University of Pennsylvania.
