Bruce Mann engages in all aspects of corporate and securities law, including venture capital, public offerings, mergers and acquisitions and corporate governance. He has been involved in over 200 M&A transactions, over 300 public offerings, and over 100 initial public offerings, more than ten by foreign private issuers.

M&A transactions include DSP Group's acquisition of the cordless and VOIP operations of NXP (formerly Philips Semiconductor), the sale of MediGuide Inc. to St. Jude Medical, the sale of Mercury Interactive to Hewlett-Packard Corporation, the sale of Saifun Semiconductors to Spansion, the sale of Voltaire to Mellanox, the tax-free spin-off for DSP Group of its Israel-based IP licensing subsidiary, and the acquisition of Frank Russell Company by Northwestern Mutual Life Insurance Company.

Securities transactions include representing high tech and life science companies and their underwriters in initial public offerings, including Intel Corporation, Genentech, JMP Securities, DSP Group, Syneron Medical Ltd., RRSat Global Communications Network, Mellanox Technologies, and public offerings by WR Hambrecht using a Dutch auction rather than the traditional underwriting process.

Corporate governance advice includes representing committees of independent directors of Crowley Maritime, Seagram, Federal Express, Maytag, Lucky Stores, and many other companies. These include a major computer manufacturer regarding allegations made in a contested merger and a major airline regarding a board-level dispute over corporate governance.

Mr. Mann served as the Chair of ABA Business Section's Federal Regulation of Securities Committee, founding Chair of its Venture Capital and Private Equity Committee, and he is a past Chair of the Section's Committee on International Technical Assistance, Membership Committee and Emerging Issues Task Force. He also served as chair of the ABA Senior Lawyers Division and chairs its Investment Strategies Committee. Best Lawyers in America has recognized Mr. Mann for his work in Corporate Law and in Securities/Capital Markets Law since 1983.

Mr. Mann has been an investment banker as well as a lawyer, serving as Managing Director in charge of Mergers and Acquisitions and Investment Banking at L.F. Rothschild, Unterberg, Towbin, and Senior Managing Director at WR Hambrecht + Co.

Mr. Mann was a member of Phi Beta Kappa at University of Wisconsin.  At University of Wisconsin Law School, Mr. Mann was an Editor of the University of Wisconsin Law Review and was elected to Order of the Coif.

NCR Corporation’s $650 Million Acquisition of Retalix
Represented NCR in its $650 million acquisition of Retalix, the largest acquisition of an Israeli software company announced in 2012.
MediGuide Inc. $300 Million Acquisition by St. Jude Medical.
Successfully represented MediGuide Inc., a privately owned Israeli medical device company based in Haifa, in its $300 million acquisition by St. Jude Medical, the $10 billion New York Stock Exchange producer of cardiovascular medical devices. (2008)

Represented DSP Group in its $270-million acquisition of cordless and IP terminals business of NXP, B.V. (formerly Phillips' semiconductor business).
Hewlett-Packard/Mercury Interactive
Represented Mercury Interactive Corporation before Department of Justice and European Commission in its $4.5 billion acquisition by Hewlett-Packard Company. (2006)
