Caroline E. Diemer’s practice focuses on representing publicly and privately held companies in a variety of corporate and securities law matters, as well as other corporate transactions.
Caroline represents both issuers and underwriters in initial public offerings, follow-on offerings, private placements and debt financings, including offerings of common and preferred equity, debt, convertible debt and high-yield debt and tender offers. In addition, Caroline regularly advises numerous public company clients regarding general business matters, corporate governance issues and compliance with the U.S. federal securities laws and the requirements of the New York Stock Exchange and NASDAQ.
Caroline graduated from Washington and Lee University School of Law, where she served as managing editor of the German Law Journal and Head Kirgis Fellow. She graduated cum laude and holds a B.A. from Georgetown University. During law school, Caroline was a summer associate in Morrison & Foerster’s Northern Virginia office.
