Catherine Hagerty counsels financial institutions and other institutional lenders, borrowers, and equipment leasing companies, as well as lessees, in the structuring, documentation, and administration of various forms of complex debt financings.

Ms. Hagerty works with clients in a wide variety of industries and has experience in the container leasing, semiconductor equipment manufacturing and timber management, engineering and construction, technology, and healthcare industries.

Ms. Hagerty is a member of Morrison & Foerster’s Women’s Strategy Committee. She is also a member of the Commercial Transactions Committee of the Business Law Section of the State Bar of California, and the Working Group on Volcker Rule Legal Opinions established under the American Bar Association’s Business Law Section.

Loan Financing
  • Represented Textainer Group Holdings Ltd., the world’s largest lessor of intermodal containers based on fleet size, in a $75 million credit facility.
     
  • Represented a major U.S. healthcare provider in a $1.455 billion revolving credit facility.
Lease Financing
  • Represented a global leasing fund in cross-border lease financings of technology equipment in the U.S., Canada, UK, France, Germany, Netherlands, and China.
     
  • Represented a major U.S. healthcare provider in the documentation of leases for a variety of medical equipment.
     
  • Representation of a major international aircraft manufacturer in a $1 billion operating lease finance program for the financing of regional jets.
Securitization
  • Represented Textainer Group Holdings Ltd., the world’s largest lessor of intermodal containers based on fleet size, in a securitization transaction and issuance of $850 million of asset-backed notes.
     
  • Represented a major healthcare service and supply provider in sale of $3.5 billion of receivables under a securitization facility.
Global Vendor Finance and Sales of Receivables
  • Represented a global software company in connection with its global vendor finance program including sales of receivables to Japanese banks.
     
  • Represented Toshiba America Nuclear Energy Corporation (TANE) in connection with a vendor financing credit facility made available to one of the owners of the new units at an existing two unit nuclear power plant at the South Texas Project in Texas, for which TANE serves as EPC contractor.
