Conan Chen

Conan Chen’s practice focuses on fund formation and related matters. He advises registered and unregistered investment advisors based in the United States and in the Asia Pacific region on the formation, structure, and ongoing management of investments in the global markets.

Conan also advises fund sponsors on related regulatory, compliance, and internal governance matters. He is particularly experienced in advising China-based investment managers in the formation of offshore private equity funds.

Prior to joining Morrison & Foerster, Conan was a private funds associate in a leading international law firm in Hong Kong. He is native in Mandarin and fluent in English.

Representative Experience

• An Asian sovereign wealth fund in over 20 transactions on its investments into global private investment funds, co-investment vehicles, and separately managed accounts with total capital commitments exceeding US$6 billion.
• A China-based investment manager focusing on travel and lodging industry in forming (i) its second offshore private equity fund with target capital commitments of US$900 million and (ii) various co-investment vehicles and separately managed accounts.
• A China-based investment manager in forming its first-time offshore private equity fund with aggregate capital commitments exceeding US$130 million to invest in equity and equity-related investments in internet finance, consumer finance, wealth management, and payment industries and related big data, internet, and technology industries in the Greater China region.
• A China-based investment manager in forming a first-time offshore private equity fund with target equity commitment of US$300 million in conjunction with an on-shore RMB fund to invest in equity and equity-related investments in the consumer consumption sector, focusing on health, beauty, and education-related businesses in the Greater China region.
• A leading global financial services firm on its investment into a China-focused private equity fund focusing primarily on the supply chain and logistics sectors in the Greater China region.
