Craig Phillips is of counsel in the Federal Tax department in Morrison & Foerster’s New York office. He advises corporate and private equity fund clients on federal income tax matters related to domestic and cross-border mergers, acquisitions, joint ventures, dispositions, spinoffs and other strategic transactions. He also advises private equity clients on fund formation and other fund-level matters. Mr. Phillips’ practice has had a particular focus on energy-related investments and investments in operating partnerships, including so-called “tax equity” transactions in the renewable energy space. He has also represented clients in connection with tax controversy and litigation matters, including before the Internal Revenue Service and the U.S. Tax Court. Prior to joining, Mr. Phillips was a tax attorney at Davis Polk & Wardwell for approximately 9 years (2006-2011, 2013-2016), representing private equity funds at all stages, from the structuring of seed capital investments through final asset dispositions and liquidation. From 2011-2013, Mr. Phillips served as VP of Tax Planning and Tax Counsel for GE Energy Financial Services, a division of GE Capital.
