Gabriel Yomi Dabiri is an associate in the firm’s Finance & Projects Group in the New York office. Mr. Dabiri has worked in North America, Europe and Asia on a variety of complex U.S. domestic and cross-border finance transactions, debt restructurings and insolvencies.

Mr. Dabiri represents commercial banks, investment banks, credit funds, hedge funds, business development companies, private equity sponsors, borrowers and guarantors on senior, mezzanine and subordinated, secured and unsecured, syndicated, bilateral and direct lending, leveraged, acquisition, project, asset and real estate finance transactions. Mr. Dabiri also advises on capital markets and securities transactions, including the issue of equity and public, private and sovereign debt, and on bankruptcies and restructuring transactions.

Mr. Dabiri is a member of the Executive Board of the American Heart Association Young Professionals, the Board of the Campaign to Keep Guns Off Campus, and the Foreign Policy Association. Prior to joining Morrison & Foerster, Mr. Dabiri worked in the New York office of another leading international law firm and for a Magic Circle firm in London, Singapore and New York. Mr. Dabiri was recognized as a Rising Star by Super Lawyers magazine in 2015, 2016 and 2017 for his work in Banking, Securities and Corporate Finance and by The National Black Lawyers – Top 100 for exemplifying superior qualifications of leadership, reputation, influence and performance in his areas of legal practice.

Mr. Dabiri earned his law degree from Cardiff Law School in the United Kingdom, where he graduated with honors, and received his B.A. in political science with a minor in economics from the University of Pennsylvania. He is qualified to practice law in New York and in England and Wales.

Representative Transactions

  • Represented a global banking and financial services institution and the syndication agent in a US$825 million senior secured financing, consisting of a US$500 million senior secured term loan B facility, a US$325 million revolving credit facility, and separate US$25 million swing line and US$35 million letter of credit subfacilities.
  • Represented a global banking and financial services institution in an acquisition financing by a private equity firm and its affiliates of a large international restaurant chain. The financing consisted of a US$380 million senior secured term loan and a US$50 million senior secured revolving credit facility.
  • Represented a leading global alternative asset manager in US$292 million and CAD26 million unitranche term loan credit facilities to a private equity sponsor in connection with an acquisition financing of a scaffolding company.
  • Represented a leading global alternative asset manager in a US$250 million senior secured second lien term loan facility to a distressed energy company.
  • Represented a global banking and financial services institution in an acquisition financing by an energy and power-focused private investment firm of a portfolio of equipment manufacturers providing advanced oilfield equipment and technology to North American and international customers. The financing consisted of a US$170 million term loan facility and a US$25 million revolving credit facility.
  • Represented a global banking and financial services institution in the origination and syndication of term loan credit facilities in an aggregate amount of US$140 million to a real estate investment trust that owns a diversified portfolio of luxury hotels that are located in major resort markets throughout the United States.
  • Represented a leading global alternative asset manager as the second lien lender in a US$50 million second lien term loan to a business automation software company.
  • Represented subsidiary guarantors in a borrower’s GBP850 million syndicated unsecured cross-border credit facility.
