Hillary P. Daniels is an associate in the Corporate Finance | Capital Markets practice. Her practice focuses on counseling publicly-listed companies on transactions including IPOs, resales, follow-on offerings, shelf offerings, merger and debt exchanges, and spin-offs.
Ms. Daniels is a former attorney adviser from the Division of Corporation Finance at the U.S. Securities and Exchange Commission in Washington, D.C. She reviewed annual reports, proxy statements, and registration statements for a wide range of transactions. While at the SEC, Ms. Daniels was selected to serve as a member of the Rule 14a-9 Shareholder Proposal Taskforce in the Division’s Office of Chief Counsel. She also previously worked as a legal intern at the U.S. Department of Justice supporting national security matters. Before attending law school she worked as a legislative staffer at the U.S. Congress, providing guidance on tax, business policy, and financial regulation matters, including the Dodd-Frank Act.
While at Washington University School of Law, Ms. Daniels was a staff editor of the Washington University Jurisprudence Review. She graduated magna cum laude from the University of Colorado, Boulder in 2007.Show More
