James Robinson is a partner in the Corporate Department of Morrison & Foerster’s Tokyo Office. He specializes in cross-border mergers and acquisitions, joint ventures, auction processes and securities offerings. He is also experienced at navigating antitrust issues, including merger control, cartel and cooperation issues. Mr. Robinson has been based in Tokyo for over ten years and advises Japanese clients investing and conducting business overseas, as well as international clients on establishing and operating in Japan. He has advised many Japanese multinational companies across numerous sectors, including technology, life sciences, financial services, manufacturing, media, and telecommunications, among others.

Chambers Asia Pacific, Chambers GlobalLegal 500 Asia Pacific and IFLR1000 recommend him as a leading corporate and M&A, and antitrust lawyer in Japan.

Prior to joining Morrison & Foerster, Mr. Robinson was the head of corporate at Herbert Smith Freehills Tokyo office and had also practiced in their London office.

Mr. Robinson is licensed to advise on English law in Japan as a Gaikokuho Jimu Bengoshi.

  • Mitsubishi Electric on its 100% acquisition of Vincotech GmbH, a multi-national manufacturing company headquartered in Germany, in an expedited auction process from a private equity seller.
  • NEC Corporation on merger control issues and filling requirements arising from a European acquisition.
  • NTT Data Corporation, a listed Japanese IT consulting company, on its 72.9% acquisition of IT consulting company Cirquent GmbH from BMW in Germany.
  • Sanyo Special Steel on an Indian joint venture with Mitsui & Co., Ltd. and the Mahindra Group.
  • Swiss Re on the Japanese aspects of its disposal of the Fox-Pitt Kelton investment bank and on its acquisition of the GE insurance business.
  • Toshiba Elevator and Building Systems Corporation on its potential acquisition by a lift supplier in the United Arab Emirates.
  • a leading Japanese trading house on its investment in a European food business and South-East Asian technology business.
  • a Japanese pharmaceutical company on the acquisition of a Vietnamese medical business, the acquisition of an Italian medical device business and an Indian joint venture.
  • UCC Holdings in relation to its €500 million acquisition of United Coffee, the biggest independent coffee business in Europe, from private equity fund CapVest.
  • a major Japanese electronics manufacturer on its cooperation and distribution arrangements with a major Chinese manufacturer.
  • a major Japanese trading house on its ¥9 billion acquisition of a significant stake and exclusive licensing rights in a global fashion retailer.
