Joel Todd is an associate in the Washington, D.C. office of Morrison & Foerster and a member of the firm’s Corporate Finance | Capital Markets group.

Joel represents both issuers and underwriters in initial public offerings, follow-on offerings, private placements, debt financings, and tender offers. His clients span a diverse range of industries, including performance chemicals, investment management, cannabis, real estate finance, biotechnology, REITs and SPACs. Joel also advises public company clients regarding compliance with the U.S. federal securities laws and the requirements of FINRA, the NYSE and Nasdaq.

Joel earned his J.D., magna cum laude, from Florida State University College of Law. While in law school, Joel was a Staff Editor for the Florida State University Law Review, a member of the Tax Law Society, and a member of the Business Law Society.

Representative Experience

  • Represented The Chemours Company (NYSE: CC) in connection with its $650 million private offering of senior notes, its tender offer for its outstanding 7.000% senior notes due 2025 and redemption of any such notes remaining outstanding following its tender offer.
  • Represented Softbank Group Corp. in its sale of over 22.5M shares of common stock of SoFi Technologies to Barclays.
  • Represented Krystal Biotech, Inc. in its $200 million common stock offering.
