Maria Steeples is an of counsel in the Corporate Department of Morrison & Foerster’s Singapore office. Her practice focuses on a wide range of corporate matters, including private M&A, private equity and joint ventures. She has extensive experience in both buy-side and sell-side M&A transactions across Southeast Asia. She has also led the development of the firm’s global warranty and indemnity insurance practice. 

M&A

Ms. Steeples has worked across multiple sectors and has a particular focus on financial institutions, telecoms, energy and private equity. She has advised on a series of significant transactions for some of the world’s leading companies including: 

  • Financial institutions and insurance multinationals including AIG, ACE (now Chubb), HSBC, AXA Allied World, and Ironshore. The transactions she has advised on cover a wide range of matters from complex cross- border M&A, multi-jurisdictional regulatory advice and distribution (such as bancassurance) arrangements as well as multi-jurisdictional regulatory advice; and 

  • TMT companies including American Tower Corporation, SoftBank and Axiata.

Warranty & Indemnity Insurance

Ms. Steeples is widely regarded in the market as the leading expert in Asia on warranty and indemnity (W&I) insurance. Since 2008, she has advised leading insurers on the majority of all of the warranty and indemnity policies they have issued in South and Southeast Asia and has developed the firm’s W&I insurance practice into a global business, expanding throughout Asia, Europe and the US. She has worked on high profile transactions for multi-national clients including AIG, Beazley, Liberty, Ironshore and Allied World.

Ms. Steeples has been integral to the development, industry understanding and use of the W&I Insurance in M&A deals in the region. She works closely with clients and prospective clients educating them on the strategic benefits of the product as a risk mitigation and deal facilitation tool and presents alongside insurers and brokers at conferences around the world including in New York, Hong Kong, Singapore, Tokyo and Malaysia.

Ms. Steeples is ranked as an “Associate to Watch” for Insurance in Singapore by Chambers Asia Pacific 2016 and a recommended lawyer for Corporate M&A in Singapore by Legal 500 Asia Pacific 2017. She is commended by clients as “a vital business partner, …[the] best in class”, with a “rare mix of  interpersonal skills, technical acumen and commercial awareness…” and “a pleasure to work with”

She has lived and worked in Singapore since 2007. Prior to joining Morrison & Foerster, Ms. Steeples was an associate at another international law firm based in Singapore and in the corporate finance team of an international firm in the UK. She is qualified as a solicitor in England and Wales.
