Moritz Heuser is counsel at Morrison & Foerster’s German office in Berlin and a member of our Corporate Department. His practice focuses on cross-border and domestic M&A transactions, Emerging Companies and Venture Capital (ECVC) investments and general corporate matters.

Mr. Heuser studied law and economics at the universities of Bonn and Milan. Before joining Morrison & Foerster in 2013, he served as an associate with a major international law firm in Berlin.

Mr. Heuser has published in the field of German stock corporation law and securities law.

  • Advised U.S. online dating provider Spark Networks, Inc. in its cross-border stock-for-stock merger with German Spark Networks SE (Affinitas GmbH).
  • Advised Phenomen Ventures in the sale of its shares in HelloFresh SE, a Berlin-based food delivery provider.
  • Advised Tokio Marine & Nichido Fire Insurance (Tokyo) in its investment in a Series-C funding round of simplesurance, a Berlin-based insurtech firm.
  • Advised Full Hill Enterprises Limited (Hong Kong) in its acquisition of BVV Bahntechnik GmbH, a manufacturer of wheels for high-speed trains.
  • Advised satellite-imaging start-up Planet Labs Inc. in the acquisition of BlackBridge Group.
  • Advised Yahoo! in the acquisition of a Berlin-based media tech company.
  • Advised Fujitsu Semiconductor in the spin-off of its European semiconductor business unit (SoC) and the set-up of Socionext, a joint venture with Panasonic.
  • Advised CCS Inc. (Japan) in its acquisition of EFFILUX SAS (France).
  • Advised Wild Bunch AG (Berlin) in multiple restructuring transactions (recapitalizations, debt-equity swaps) and in the stock-for-stock acquisition of Wild Bunch S.A. (Paris).
  • Advised DEAG Deutsche Entertainment AG (Berlin) in a bond issuance.
  • Advised DEAG Deutsche Entertainment AG (Berlin) in the formation of a Joint Venture (MyTicket AG) with Axel Springer und ProSiebenSat.1.
