Bob Mattson is engaged in counseling both public and private companies on corporate governance, securities, business restructuring, and regulatory compliance issues. Mr. Mattson regularly advises companies, their Boards of Directors and Special Committees of the Board on compliance issues, corporate governance matters, going private and other conflict of interest transactions and internal investigations. His securities experience includes not only regularly advising public companies on S.E.C. disclosure matters, but also participation in over 100 public offerings of equity and debt securities. He has been involved in over 200 corporate restructuring transactions, including corporate divestitures and acquisitions, spin-off and split-off transactions, proxy contests and the representation of bidders and targets in corporate takeover and change of control transactions.

Mr. Mattson is listed by Best Lawyers in The Best Lawyers in America, Best Lawyers in California and Best Lawyers in San Diego in the areas of Corporate Law, Corporate Compliance Law, and Corporate Governance Law.  He is also currently designated as a Southern California and San Diego “Super Lawyer” by Thomson Reuters. In 2014, he was recognized as “Lawyer of the Year (San Francisco Corporate Compliance Law)” by Best Lawyers and in 2010 was selected as a national BTI “Client-Service All Star”.

Mr. Mattson has served as Vice-Chair of the Executive Committee of the 2,500 member Business Law Section of the State Bar of California, the Chair of the Corporations Committee of The State Bar of California and the Chair of the Corporations, Banking and Business Law Section of the Bar Association of San Francisco. He was elected to Order of the Coif and was an Editor of the Law Review at Northwestern University School of Law.

From 1981-2012, Mr. Mattson was a partner in the firm. During that time he twice co-chaired the firm’s 250+ attorney Corporate group and served as both a member and Chair of the firm’s partner compensation committee. In 2013, he became a Senior Counsel of the firm.
