Mr. Aizen is a partner in the Executive Compensation + ERISA Practice. Mr. Aizen regularly advises the firm’s clients on all matters relating to executive compensation, in particular in connection with mergers and acquisitions, corporate restructurings and bankruptcies, and initial public offerings.
He negotiates and drafts compensatory plans and agreements (including equity and cash incentive and deferred compensation plans, and employment, separation, change in control, retention, and non-compete agreements), and provides related advice concerning tax (including Sections 280G and 409A) and securities law issues.
He also helps public companies navigate compensation-related disclosure (including CD&A, Form 8-K, and Section 16) and corporate governance issues (including say on pay and shareholder approval of equity incentive plans).
