Rose Plato is an associate in the firm’s San Francisco office. She specializes in a broad range of executive compensation and employee benefit matters, such as:

  • Conducting due diligence on employee benefit matters in corporate transactions, and representing both buyers and sellers in corporate transactions, with respect to Section 280G, Section 409A, the permissible termination of employment agreements and option plans, and the structure of retention and deal bonus arrangements.
  • Counseling clients on the tax law aspects of various compensation arrangements, including deferred compensation agreements, supplemental executive retirement plans, equity compensation plans, short-term and long-term incentive plans, and severance arrangements.
  • Advising clients regarding the design and administration of qualified and non-qualified plans, as well fringe and welfare benefit plans. 
  • Drafting plan documents, amendments, summary of material modifications, and summary of plan descriptions for qualified and non-qualified retirement plans.
  • Researching discrete employee benefit plan compliance issues.

Rose earned her B.A. in Political Science from the California Polytechnic State University, San Luis Obispo, and graduated Order of the Coif from the University of Denver Sturm College of Law. Following law school, Rose clerked for the Honorable Bruce E. Kasold¸ Chief Judge at the United States Court of Appeals for Veterans Claims.
