Sara L. Terheggen is a partner in the Corporate Group of Morrison & Foerster’s San Francisco and Palo Alto offices. Dr. Terheggen has advised on numerous corporate and private equity fund transactions with an aggregate value totaling approximately $100 billion. Her expertise provides her with extensive experience counseling companies and private equity and other funds in a variety of industries, including technology (semiconductors, software, and Internet), healthcare, life sciences, consumer products, financial, media and retail.
Dr. Terheggen’s expertise includes extensive experience leading transactions for both companies and underwriters in connection with public and private offerings of equity and debt securities. She has advised on numerous initial public offerings as well as acquisitions, investments and strategic alliances. Dr. Terheggen also has significant experience counseling companies and boards of directors on strategic and corporate governance issues, including matters related to sustainability and corporate social responsibility.
Dr. Terheggen’s private equity experience focuses on advising sponsors in the structuring, formation, and offering of private investment funds, including co-investment vehicles, other alternative investment products and social impact funds. Her practice also includes advising sponsors regarding management company and general partner structuring, fund restructuring and structuring in connection with acquisition transactions.
Dr. Terheggen serves on the Firm’s Business Development Council and Pro Bono Committee. Prior to joining Morrison & Foerster, Dr. Terheggen worked for Skadden, Arps, Slate, Meagher and Flom LLP and prior to that, Simpson Thacher & Bartlett LLP. Prior to her legal career, she served as director of assessment for UC Merced School of Engineering and was the founding education director for the National Science Foundation Center for Embedded Networked Sensing at UCLA. She also spent several years working with the National Science Foundation Center of Integrated Nanomechanical Systems at UC Berkeley.
Dr. Terheggen sits on several boards, including the Boalt Hall Alumni Association Board, the Association for Corporate Growth (Silicon Valley), the Global Advisory Council for 100 Women in Finance, and the Board of Trustees for Rising International. She also serves as a California delegate to the Vision 2020 Project, a national campaign to advance American women’s economic and social equality. In connection with this initiative, Dr. Terheggen has developed a “Think Tank” series that focuses on increasing the number of women in senior leadership positions. The series is co-sponsored by The Stanford Rock Center, the Berkeley Center for Law, Business and the Economy and the Association for Corporate Growth (Silicon Valley). Dr. Terheggen was also invited to the White House on two occasions, to participate in forums on women in the financial sector and a Business Council leadership discussion.
