Stephanie Ference is an associate in the Corporate Department of Morrison & Foerster's New York office. Her general corporate and transactional practice emphasizes mergers and acquisitions and private equity matters. She has assisted a broad array of U.S.-based and international clients with transactions in the healthcare, manufacturing, financial services, investment and energy sectors.

Ms. Ference received her J.D. from Columbia Law School, where she served as a Submissions Editor of the Columbia Journal of Environmental Law and participated in the Environmental Law Clinic and the Iraqi Refugee Assistance Project (now the International Refugee Assistance Project).

Prior to law school, Ms. Ference was an officer in the United States Army; she is a veteran of Operation Iraqi Freedom and recipient of the Bronze Star. She holds a B.A., cum laude, Phi Beta Kappa, in History and Political Science from Rutgers University, where she was named a Henry Rutgers Scholar in History.

  • Represented DaVita Inc. in its acquisition of Renal Ventures Management, LLC and the simultaneous divestiture of seven dialysis centers to affiliates of Physicians Dialysis.
  • Represented DST Systems, Inc., a leading provider of sophisticated information processing and servicing solutions in its acquisition of 100% ownership of Boston Financial Data Services, Inc. and International Financial Data Services Limited, previously operated as 50/50 joint ventures with State Street Corporation.
  • Represented DST Systems, Inc. and its wholly owned subsidiary ALPS Holdings, Inc. in its acquisition of Kaufman Rossin Fund Services, LLC, a provider of specialized administration services to the global financial community.
  • Represented WM Partners, a private equity firm specializing in buyout investments in the health and wellness sectors, and its portfolio company Wellnext, in the purchase of substantially all of the assets of nutraceutical company Natural Dynamics, LLC.
  • Represented WM Partners and its portfolio company Wellnext in the purchase of all of the membership interest in nutraceutical company Stop Aging Now, LLC.
  • Represented UMT Consulting, a technology consulting company, in its sale to Ernst & Young.
  • Represented Dai Nippon Printing Co., Ltd., a major Japanese printing firm, in the acquisition of Foto Fantasy, Inc. (d/b/a Innovative Foto) from an affiliate of Sankaty Advisors, an independently managed affiliate of Bain Capital.
  • Represented FUJIFILM Holdings, a leading provider of imaging, information and document solutions, in its acquisition via tender offer of Cellular Dynamics International, a developer and manufacturer of fully functioning human cells in industrial quantities.
  • Represented Inovalon Holdings, Inc. in its acquisition of Avalere Health, Inc.
  • Represented SoftBank Corporation in its sale of DramaFever to Warner Bros. Entertainment.
