Thomas Keul is a partner at the German office of Morrison & Foerster in Berlin. He represents shareholders and companies as well as their boards in numerous court and arbitration proceedings, especially in corporate and capital market lawsuits, administrative decision procedures, and in complex civil law suits, such as post-M&A litigation, civil liability actions, insolvency claims or antitrust disputes. He advises clients on matters likely to entail legal action, for example, in connection with critical general shareholders’ meetings or in special situations such as restructurings, squeeze-outs, domination agreements, and in takeover situations.
Thomas Keul advises clients comprehensively on compliance matters and in corporate governance issues. He has extensive experience in conducting internal investigations on behalf of companies and audit committees.
Thomas Keul has published numerous essays and articles in law journals on corporate law-related and litigation topics. He is the author of a leading handbook on German corporate law and a handbook on corporate disputes. He is a member of the editorial advisory board of the Journal on Criminal Business Law and Liability Within Companies.
