Yana Johnson's practice focuses on executive compensation and employee benefits, including:

  • Handling employee benefits issues in multijurisdictional corporate transactions, including the division of employee benefit liabilities and transfer of plan assets, and the negotiation of plan liability provisions in connection with corporate transactions and financing agreements.
  • The design, implementation, and administration of deferred compensation, equity-based and incentive compensation, pension, profit-sharing, employee stock ownership (ESOP), Section 401(k), Section 457(b) and (f), and Section 403(b) plans; severance and early retirement programs; flexible benefit or "cafeteria" plans; and other employee welfare plans such as medical, dental, disability, life insurance, and retiree health plans.
  • Advising on issues under Code Sections 280G and 409A and executive employment agreements.
  • Addressing operational and fiduciary issues which arise under various benefit plans.
  • Managing plan audits and the resolution of plan compliance issues through both the IRS's and Department of Labor's correction programs.
  • Assisting with all aspects of regulatory compliance associated with employee benefit plans including healthcare reform.
  • Advising clients on ERISA's fiduciary, plan asset and prohibited transactions provisions.

Ms. Johnson received her B.A. in Economics from the University of California, Santa Cruz, in 1995, and her J.D., cum laude, from the University of California, Hastings in 1999. Ms. Johnson is a member of the California State Bar, and is admitted to the Northern, Southern, and Eastern District Courts of California, as well as the United States Court of Appeals for the Ninth Circuit.
