$1.6 Billion Steel Company Credit Facilities
We represented major financial institutions as agent and lender in connection with a $1.1 billion credit facility and related $500 million term facility, where proceeds were used to finance an acquisition by a major steel products company.
$2 Billion e-Commerce Company Credit Facility
We represented a major financial institution as agent, letter of credit issuer, and lender in a $2 billion revolving credit facility for an e-commerce company.
$2.1 Billion Timber Acquisition
We represented certain funds formed by a private equity firm in secured bridge and take-out financings aggregating $2.1 billion (acquisition of 1.5 million acres of Temple-Inland timberlands located in Texas, Louisiana, Alabama, and Georgia).
$850 Million Syndicated Credit Facility
We documented and negotiated an $850 million loan secured by plastics manufacturing complex in Texas, representing the agent for a syndicate of Taiwanese banks.
Kia Motors America, Inc.
We represented KIA Motors America in connection with the successful refinancing, agented by Wells Fargo Foothill, LLC, of its $400 million syndicated, asset-based credit facility.
U.S. Subsidiaries of Hampson Industries PLC
Representation of the U.S. operating subsidiaries of Hampson Industries PLC, a U.K. publicly-traded company and global manufacturer and supplier of engineered products to customers in the aerospace and specialist engineering markets, in connection with their out-of-court restructuring and ultimate sale to American Industrial Partners for approximately $44 million.
