SoftBank’s acquisition of ARM
Represented SoftBank in its $31.4 billion acquisition of ARM, making it the largest outbound acquisition from Japan and the largest ever cash investment from Asia into the UK.
VMware in Dell’s acquisition of EMC
Represented VMware in connection with Dell’s $67 billion acquisition of VMware parent company EMC. The deal presented a host of complex issues for VMware, as it is a publicly traded entity controlled by EMC, which will issue tracking stock in VMWare. VMware remains an independent, publicly traded company.
Broadcom’s acquisition by Avago Technologies
Represented Dr. Henry T. Nicholas, co-founder and past CEO of Broadcom, in connection with Broadcom’s landmark acquisition by Avago Technologies, which values Broadcom at $37 billion and the combined company at $77 billion in enterprise value. This was, at the time of its announcement, considered the largest technology deal in history.
Mobileye N.V.’s acquisition by Intel
Represented Mobileye N.V., an Israeli company that develops technology for driver assistance systems and autonomous driving, in its $15.3 billion acquisition by Intel Corporation, a leading international technology and semiconductor company.
Privatization of Global Logistic Properties
Representing Global Logistic Properties Limited (GLP) in the proposed $11.64 billion privatization of GLP by way of a scheme of arrangement, pursuant to which Nesta Investment Holdings Limited will acquire all of the issued and paid-up ordinary shares in the capital of GLP.
SoftBank’s sale of Supercell Oy to Tencent
Represented SoftBank in the sale of its controlling stake in Finnish gaming company Supercell Oy to Chinese Internet company Tencent Holdings at a value of $8.6 billion.
Renesas Electronics’ acquisition of Intersil Corporation
Represented Renesas Electronics, a Tokyo-based semiconductor supplier, in its $3.2 billion acquisition of Intersil Corporation, a leading U.S. chipmaker.
ON Semiconductor’s acquisition of Fairchild Semiconductor
Represented ON Semiconductor in its acquisition of Fairchild Semiconductor International, Inc., global supplier of power and mobile semiconductors, for approximately $2.4 billion.
Polycom’s merger with Siris Capital
Represented the Board of Directors of Polycom, Inc. in the company's $2 billion all-cash merger with Siris Capital Group LLC and the company's previously announced $1.6 billion cash and stock merger agreement with Canadian telecommunications company Mitel Networks Corp.
McKesson’s acquisition of Vantage Oncology and Biologics
Represented McKesson Corporation, a leader in healthcare services and the #11 company on the Fortune 500 list, in the acquisitions of Vantage Oncology, LLC, a leading national provider of radiation oncology, medical oncology and integrated cancer care, and Biologics, Inc., an oncology pharmacy services company in two transactions totalling $1.2 billion.
Unilever’s acquisition of Dollar Shave Club
Represented Unilever, one of the world's leading suppliers of food, home, and personal care products, in its acquisition of Dollar Shave Club, a California-based company that delivers razors and other personal grooming products straight to consumers by mail.
Boyd Gaming's sale of interest in the parent company of Borgata Hotel Casino & Spa
Represented Boyd Gaming Corporation in the sale of its 50% equity interest, valued at $900 million, in Marina District Development Holding Company, LLC, the parent company of Borgata Hotel Casino & Spa in Atlantic City, New Jersey, to MGM Resorts International.
Brookfield’s acquisition of Holtwood
Represented Brookfield Renewable Energy Partners L.P., a power sector-focused private equity fund in the acquisition of Holtwood LLC from Talen Energy for $860 million in cash.
