Morrison & Foerster’s private equity practice includes leading practitioners in the U.S., the UK, Germany, greater China, and Japan. Our private equity fund group provides us with important market context regarding the strategic objectives of fund investors and their structuring concerns.

We advise parties to complex, highly negotiated leveraged buyouts and management buyouts. Our expertise ranges from buyouts of closely-held and privately-owned companies to “going private” transactions involving publicly-traded corporations. We assist clients with their strategic private investment activities, handling deals that range in scope from strategic buy-side deals to billions of dollars. We work regularly with closely-held corporations and, as a result, understand their needs. With our executive compensation and benefits colleagues, we work to structure equity-rollovers and benefit and compensation plans that are designed to enhance productivity and retention rates following buyouts.

We represent buyout groups, senior lenders, mezzanine debt holders, target companies, and management groups. Representative clients include Capricorn Investment Group, Dubai International Capital, Eagle River Investments, Geolo Capital, GESD Capital, GTCR, Mizuho Capital Partners, Sage Capital Partners, TPG, and Warburg Pincus. We have particularly deep experience representing buyout funds focused on the power sector, including renewables, traditional energy, and infrastructure. Our clients include First Reserve, UBS Infrastructure & Private Equity, Kruger Energy, Fiera Axium Infrastructure, Barclays Natural Resources, Morgan Stanley Infrastructure, and OMERS Private Equity, among others, as well as hedge funds.

MoFo is also a go-to law firm for sovereign wealth funds and pension plans in connection with their M&A and private equity activities, including on behalf of GIC, the Alaska Permanent Fund, New Mexico Pension Plan, OMERS Private Equity, Public Sector Pension Plan Investment Board (PSP), Caisse de dépôt et placement du Québec, and Ontario Teachers. Representation of private equity firm GESD Capital Partners, through its portfolio wine company Ascentia, in the acquisition of eight top California and Northwest wineries for more than $200 million from the world’s largest winemaker and beverage alcohol importer, Constellation Brands.
Dubai International Capital
Representation of Dubai International Capital, a global private equity group, and one of its portfolio companies, Doncasters Group Ltd., a global precision engineering group, in the $492 million acquisition of FasTech, Inc., an international manufacturer of industrial and aerospace-grade engineering components and in other corporate acquisitions and divestitures.
Restoration Hardware, Inc.
Representation of  Restoration Hardware in its 2008 sale for $267 million to a group of private equity investors lead by Catterton Partners, a private equity firm based in Greenwich, Connecticut.
Eagle River Holdings
Representation of Eagle River Holdings, LLC, as a member of the investor group participating in a $1.5 billion round of strategic equity financing for Clearwire Corporation. Other investors included Sprint, Comcast, Intel, Time Warner Cable, and Bright House.
Geolo Capital
Representation of Geolo Capital in its acquisition of the 400 acre Carmel Valley Ranch resort.
Sage Capital Partners, L.P.
Representation of  Sage Capital Partners, L.P., a private equity fund, in its investments in management-led buyouts, expansion financings and recapitalizations. Portfolio investments in which we represented the fund included Altra, Inc., a privately-held developer of renewable biofuels; XOJet, a private jet operator; BTTW Retail LP, a lifestyle and Western wear retailer; and the acquisition of Alvarado Hospital and Medical Center from Tenet Healthcare Systems.
Warburg Pincus
Representation of Warburg Pincus in its $128 million purchase of convertible bonds and warrants with $25 million exercise value issued by Hong Kong-listed Gome Electrical Appliances Holdings Ltd., a leading PRC electronics retailer.
