Morrison & Foerster's Tokyo Office is active in representing telecommunications companies in a wide range of strategic alliances, acquisitions and other transactions. 


Recent telecommunications matters on which we have advised include:


  • Index's acquisition of Shenzhen Skyinfo Telecom.  We represented Index, a leading JASDAQlisted wireless service provider, in its $80 million acquisition of Shenzhen Skyinfo Telecom, China’s third largest mobile content provider.
  • Fujikura's joint venture with Alcoa.  We represented Fujikura in its divestiture of a 49% equity interest in Alcoa Fujikura Ltd., (AFL) a joint venture with Alcoa, Inc., and its simultaneous acquisition of AFL’s telecommunications and automotive divisions.
  • Japan Telecom's joint venture with Vodafone AirTouch.  We represented Vodafone AirTouch in its formation of J Phone Communications, a joint venture with Japan Telecom and British Telecom (BT) to provide $6.4 billion in funding for the build out of next generation mobile phone systems by regional J Phone companies.
  • NTT Holdings' joint venture with Internap.  We represented NTT Holdings in its joint venture with NTT-ME and Internap Network Services to provide high-speed internet connectivity services in Japan. 
  • NTT's acquisition of interest in Sri Lanka Telecom.  We represented NTT in its acquisition of a 33% interest in Sri Lanka Telecom for $225 million.
  • NTT's tender offer and acquisition of Verio.  We represented Verio, the world’s largest operator of websites for businesses, in NTT’s $5 billion tender offer for, and acquisition of, the company.
  • Softbank's strategic alliance with Cisco Systems.  We represented Softbank in its $1.5 billion strategic alliance with Cisco, including Cisco’s funding of a $1 billion investment fund focusing on wireless and broadband service providers in the Asia-Pacific region.
  • Softbank's investment in Korea Thrunet.  We represented Softbank in its $250 million investment in Korea Thrunet, a leading operator of broadband service networks in Korea.
  • Fujitsu Network Communications' acquisition of Nexion.  We represented Fujitsu Network Communications in its $130 million acquisition of the U.S. telecommunications business of Ascom Holding AG.
  • The Carlyle Group's financing of eAccess.  We represented Carlyle as a lead investor (together with Japan Telecom and a major U.S. financial institution) in a $100 million financing of eAccess, a Japanese provider of broadband-internet access services.
  • Softbank Networks' investment in Harmonix.  We represented Softbank Networks in its investment in Harmonix Corporation, a developer of wireless communications/data transmission equipment.
  • Fujitsu' acquisition of minority interest in OpenCon Systems.  We represented Fujitsu in its acquisition of a minority interest in a U.S. developer of SONET telecommunications protocols.
  • @Nifty's strategic alliance with SingTel.  We represented @Nifty, Japan’s largest ISP, in its strategic alliance with Singapore Telecom to provide roaming ISP and Asia wide content on a cooperative basis.
  • Toshiba's strategic alliance with Audiovox Communications Corp.  We represented Toshiba in its strategic alliance with Audiovox Communications Corp., including its equity investment in Audiovox and the extension of its agreements for distribution of Toshiba's mobile communications devices in the U.S.
  • Mobile Broadcasting's investment in TU Media.  We represented Mobile Broadcasting Corp., a subsidiary of Toshiba Corporation, in its investment in TU Media, a Korean mobile broadcast company.
  • Mobile Broadcasting's strategic alliance with SK Telecom.  We represented Mobile Broadcasting Corp. in its strategic alliance with SK Telecom for the development of new mobile broadcast services in Japan and Korea.
  • ACCA Networks' financing and strategic alliance with NTT Communications and Covad. We represented ACCA Networks, a leading Japanese DSL provider, in its financing by and strategic alliance with NTT Communications and NASDAQ-listed Covad Communications.
  • Mitsui's joint venture with ORBCOMM.  We represented Mitsui & Co., Ltd. in its formation of ORBCOMM Japan, a joint venture established to provide digital communications in Japan via low earth orbital satellites.
  • Aplix Corporation's development and licensing of wireless communications software.  We represented Aplix Corporation, a developer of embedded Java software solutions, in multiple licensing negotiations with carriers, handset manufacturers, software developers and other participants in the wireless communications industry.
